Company: Teamther Ascent Ltd. (referred to herein as “Teamther.ai,” “We,” “Us,” or “Our”)
1.1 By accessing or using the services, applications, software, and websites provided by Teamther.ai (collectively, the “Service”), you agree to be bound by these Terms and Conditions (“Terms”), our Privacy Policy, and all other operating rules, policies, and procedures that may be published from time to time by us – including any updates or modifications made to these Terms in accordance with applicable law). If we update these Terms, we will notify you as required by law, and your continued use of the Service after the effective date of the update means you agree to the revised Terms.
1.2 If you are accessing and using the Service on behalf of a company or an organization (such as an employer or recruitment agency), you represent and warrant that you have the authority to bind that entity to these Terms. In that case, “You” and “Your” refer to that entity and you further represent that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and will use the Service in compliance with all applicable laws, including data protection, privacy, and non-discrimination laws. By clicking “I Agree” or using the Service, you consent to entering agreements electronically.
2.1 Service: The online system provided by Teamther.ai, including all related software, algorithms, dashboards, APIs, documentation, and support services made available by Us.
2.2 User/You: The individual or entity utilizing the Service, typically a Human Resources team, employer, or recruitment agency, including any authorized employees, contractors, or agents acting on their behalf.
2.3 Candidate Data: All personal data, including CVs, resumes, application details, and associated metadata uploaded by the User to the Service for processing as well as any additional information derived from such data that may constitute personal data under applicable data protection or privacy law.
2.4 AI Score/Insights: The output, analysis, score, or insights generated by Teamther.ai’s machine learning models based on the Candidate Data.
2.5 Subscription: The paid plan or access level purchased by the User to utilize the Service including any usage limits, feature tiers, and renewal terms applicable to the selected plan.
3.1 Eligibility: You must be at least eighteen (18) years of age to use the Service. By agreeing to these Terms, you represent and warrant to us that you are legally competent to enter into this agreement and that your use of the Service complies with all applicable employment, privacy, and data protection laws in your jurisdiction.
3.2 Access and Accounts: You are responsible for maintaining the confidentiality of your account password and are fully responsible for all activities that occur under your account. Teamther.ai reserves the right to refuse service, terminate accounts, or remove or edit content at its sole discretion where necessary to comply with law, protect the integrity of the Service, or prevent misuse, including misuse of Candidate Data. You further agree to notify us immediately of any unauthorized access to your account or any security breach.
3.3 Acceptable Use: You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. You shall not:
a. Upload or transmit any Candidate Data that is unlawful, harmful, defamatory, or infringes on any third-party rights or violates applicable data protection, anti-discrimination, or labor laws.
b. Attempt to reverse engineer, decompile, or otherwise modify the Service or its underlying algorithms or circumvent any security, usage, or access controls.
c. Use the Service to train competing AI models or systems or to build datasets for model training, benchmarking, or algorithmic replication.
d. Use the Service to make fully automated hiring decisions without appropriate human review, where required by law.
e. Interfere with, disrupt, or attempt to harm the performance, availability, or integrity of the Service.
4.1 Data Ownership: You retain all ownership rights to the Candidate Data you upload to the Service. Teamther.ai does not claim ownership of your Candidate Data and processes such data solely on your documented instructions, in accordance with applicable data protection laws. You are responsible for ensuring that you have a lawful basis (such as consent or legitimate interest) to upload and process Candidate Data through the Service.
4.2 Data Protection and GDPR Compliance (EU): If you process the personal data of individuals located in the European Economic Area (EEA) or the United Kingdom (UK), the following clauses apply:
a. Data Controller Role: You acknowledge and agree that, for the purposes of the General Data Protection Regulation (GDPR), you act as the Data Controller of the Candidate Data. You are responsible for the lawfulness of the processing, including obtaining all necessary consents and providing required privacy notices to the candidates before uploading their data to the Service and for ensuring that the processing instructions you provide to Teamther.ai comply with applicable laws.
b. Data Processor Role: Teamther.ai acts as the Data Processor, processing Candidate Data strictly on your documented instructions and solely for the purpose of providing the Resume Screening and Scoring System and will not process Candidate Data for any additional or incompatible purpose.
c. Data Minimization: You commit to uploading only the minimum necessary Candidate Data required for the Service to function effectively and you agree not to upload special categories of data (e.g., health, ethnicity, religion) unless strictly necessary and permitted under GDPR.
d. Data Location: Teamther.ai will process and store Candidate Data primarily in secure data centers located in Netherland. Where Candidate Data is transferred or accessed outside the EEA/UK (including by authorized sub processors or support personnel), such transfers will be subject to appropriate safeguards in accordance with applicable data protection law, such as the Standard Contractual Clauses (SCCs) and, where required, additional technical and organizational measures.
e. Data Security: Teamther.ai implements technical measures to ensure a level of security appropriate to the risk, including encryption and access controls, as detailed in our Privacy Policy and/or Data Processing Addendum (DPA). You agree to review and accept our DPA before processing any GDPR-covered data and acknowledge that Teamther.ai may require additional safeguards for high-risk processing activities.
4.3 AI Non-Bias Commitment: Teamther.ai commits to employing technical measures to develop and audit its AI models to mitigate known forms of bias related to protected characteristics (e.g., race, gender) from influencing the AI Score/Insights. However, you acknowledge that no AI system can guarantee the complete absence of bias, and the AI Score/Insights are intended only as an assistance tool, not a final hiring decision maker. The ultimate hiring decision remains the sole responsibility of the User/Controller.
4.4 U.S. Privacy – Service Provider Status: For Customers subject to U.S. state privacy laws (including the California Consumer Privacy Act as amended by the California Privacy Rights Act), the parties acknowledge that Teamther.ai acts as a “Service Provider” or equivalent under such laws and processes personal information solely to perform the business purposes described in these Terms, the Privacy Policy, and any applicable Data Processing Addendum. Teamther.ai does not sell or share personal information (including Candidate Data) for cross-context behavioral advertising or for any commercial purpose unrelated to the provision, maintenance, or security of the Service.
5.1 Payment Terms: Access to the Service is subject to payment of the applicable Subscription fees (“Fees”). All Fees are payable in advance and are non-refundable, except as expressly provided in these Terms or required by law. By purchasing a Subscription, you authorize Teamther.ai (and its third-party payment processor) to charge the payment method you provide for all applicable Fees. You are responsible for ensuring that all billing information is accurate and up to date to avoid interruption of the Service.
5.2 Price Changes: Teamther.ai reserves the right to change its prices and billing methods at any time. We will provide you with reasonable prior notice of any material changes to the Fees. Your continued use of the Service after the effective date of the price change constitutes your agreement to pay the new Fees If you do not agree to a price change, your sole remedy is to cancel your Subscription before the new Fees take effect.
5.3 Taxes: All Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only taxes based solely on Teamther.ai’s income. Where required by law, Teamther.ai may charge applicable taxes and you agree to pay such amounts unless you provide a valid tax exemption certificate.
6.1 Teamther.ai IP: All rights, title, and interest in and to the Service, including the AI Score/Insights, the underlying AI models, algorithms, software, documentation, and all related intellectual property rights, are the exclusive property of Teamther.ai and its licensors. Nothing in these Terms grants you any ownership rights in the Service or any output generated by the Service. You agree not to copy, modify, create derivative works of, or otherwise exploit any part of the Service except as expressly permitted under these Terms.
6.2 License to Use: Teamther.ai grants you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes of screening candidates, subject to these Terms and your active Subscription. This license does not permit you to sublicense, distribute, or resell the Service, except where expressly authorized in writing by Teamther.ai under a separate reseller, affiliate, or partner agreement. You may not use the Service to develop, train, benchmark, or evaluate competing AI models or recruiting tools. Teamther.ai may revoke this license if you materially breach these Terms.
7.1 Termination by User: You may terminate your Subscription at any time by following the instructions within your account settings or on request to our support. Termination will take effect at the end of your current billing period unless otherwise required by law, and you remain responsible for all Fees due up to that date.
7.2 Termination by Us: We may terminate or suspend your access to all or part of the Service at any time, with or without cause, with or without notice, effective immediately, if you breach any of these Terms. We may also suspend or terminate your access where necessary to comply with legal obligations, protect system security, prevent misuse, or address non-payment.
7.3 Effect of Termination: Upon termination, your right to use the Service will immediately cease. All Fees paid are non-refundable. Teamther.ai will retain or delete your Candidate Data in accordance with its data retention policy and applicable law, including GDPR’s right to erasure. You are responsible for exporting or backing up any Candidate Data or reports prior to termination, as access to your account and related outputs may be permanently disabled after termination.
8.1 Disclaimers: The service is provided “as is” and “as available.” Teamther.ai makes no warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service, ai score/insights, or any output will be accurate, error-free, unbiased, or suitable for any particular hiring decision, nor that the service will be continuously available or free from interruptions, security issues, maintenance or technical defects. All ai outputs are provided as decision-support only and must be used with appropriate human oversight.
8.2 Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall teamther.ai be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, the service. In no event shall Teamther.ai’s total aggregate liability arising out of or related to these terms or the service exceed the amount of fees paid by you to teamther.ai in the twelve (12) months preceding the event giving rise to the claim.
The foregoing limitations apply whether the claim is based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if teamther.ai has been advised of the possibility of such damages.
In no event shall Teamther.ai’s total aggregate liability arising out of or relating to these terms or the service exceed the amount of fees paid by you to teamther.ai in the twelve (12) months immediately preceding the event giving rise to the claim.
8.3 Cap on Liability: To the maximum extent permitted by applicable law, each party’s total aggregate liability arising out of or in connection with these Terms or the use of the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall be limited to an amount equal to the Fees paid or payable by You to US for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
8.4 Exceptions: The limitations in this Section 8 do not apply to: (a) Your obligation to pay Fees; (b) either party’s liability for death or personal injury caused by its negligence; (c) fraud or fraudulent misrepresentation; or (d) Your indemnity obligations under Section 9, in each case only to the extent such liability cannot lawfully be limited under applicable law.
9.1 Customer Indemnity: You shall defend, indemnify, and hold harmless Teamther.ai and its officers, directors, and employees from and against any third-party claims, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) Your use of the Service in breach of these Terms or applicable law; (b) Your failure to provide candidates or users with required privacy notices, obtain any legally required consents, or otherwise comply with GDPR, UK GDPR, U.S. privacy laws (including CCPA/CPRA), or other applicable data protection laws; or (c) any decision or action You take in relation to candidates or employees based on the AI Score/Insights or other outputs of the Service, including compliance with employment, labor, and anti-discrimination laws.
9.2 Teamther.ai IP Indemnity: Teamther.ai shall defend You against any third-party claim alleging that Your authorized use of the Service, in accordance with these Terms, infringes a patent, copyright, or registered trademark of that third party, and shall pay any final court-awarded damages or settlement amounts approved by Teamther.ai, provided that You (i) promptly notify Teamther.ai of the claim, (ii) allow Teamther.ai sole control of the defence and settlement, and (iii) provide reasonable assistance at Teamther.ai’s expense.
Teamther.ai shall have no obligation under this Section to the extent the claim arises from: (a) Candidate Data or other materials provided by You; (b) Your use of the Service in breach of these Terms or applicable law; (c) modifications or combinations of the Service not made or approved by Teamther.ai; or (d) use of the Service other than as permitted under these Terms.
If the Service becomes, or in Teamther.ai’s reasonable opinion is likely to become, the subject of an infringement claim, Teamther.ai may, at its option: (i) procure the right for You to continue using the Service; (ii) modify or replace the Service so it is non-infringing; or (iii) terminate the affected portion of the Service and refund any prepaid Fees for the unused term.
Teamther.ai shall have no obligation under this Section 9.2 to the extent that the claim arises from:
(a) Candidate Data or other data provided by You;
(b) Your use of the Service in violation of these Terms; or
(c) any combination of the Service with products, services, or data not supplied by Teamther.ai.
10.1 Confidential Information: “Confidential Information” means any non-public information disclosed by one party (“Disclosing Party”) to the other (“Receiving Party”) in connection with these Terms, whether in written, oral, or electronic form, that is marked or otherwise reasonably understood as confidential, including business information, technical information, security and architecture details, pricing, and Candidate Data. Confidential Information does not include information that: (a) is or becomes public through no fault of the Receiving Party; (b) was lawfully known to the Receiving Party before disclosure; (c) is received from a third party without breach of any duty of confidentiality; or (d) is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information.
10.2 Confidentiality Obligations: The Receiving Party shall use Confidential Information only for the purpose of performing its obligations or exercising its rights under these Terms, and shall not disclose Confidential Information to any third party except to its employees, contractors, and professional advisers who have a need to know it and are bound by confidentiality obligations no less protective than those in these Terms. The Receiving Party shall protect Confidential Information using at least the same degree of care it uses to protect its own similar information, and in no event less than reasonable care.
10.3 Required Disclosures: The Receiving Party may disclose Confidential Information to the extent required by law, regulation, or court order, provided that (where legally permitted) it gives the Disclosing Party prompt written notice and reasonable opportunity to seek a protective order or other remedy.
10.4 Survival: The obligations in this Section 11 will continue after these Terms end. Obligations relating to trade secrets and Candidate Data will continue for as long as that information remains confidential under applicable law.
11.1 Human Oversight and No Sole Automated Decisions: You acknowledge that the AI Score/Insights and other outputs of the Service are intended solely to support Your human decision-making and are not designed to be the sole basis for any decision producing legal or similarly significant effects on individuals. You agree to maintain meaningful human oversight over all hiring and HR decisions and not to rely solely on AI outputs to make decisions about candidates or employees.
11.2 Compliance with Employment and Anti-Discrimination Laws: You remain solely responsible for complying with all applicable employment, labour, anti-discrimination, and fair hiring laws in all jurisdictions where You recruit and/or operate, including any requirements under GDPR, UK GDPR, the EU AI Act (where applicable), and U.S. federal and state laws. This includes conducting any required impact assessments, informing candidates about the use of automated tools, and ensuring that Your use of the Service is compatible with Your legal obligations.
11.3 No Legal, HR, or Compliance Advice: The Service and any AI Score/Insights or other outputs do not constitute legal, human resources, or compliance advice. Teamther.ai does not provide legal or regulatory advice regarding Your hiring practices or data protection obligations, and You should consult Your own legal or HR advisers to ensure that Your use of the Service complies with applicable laws and regulations.
12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles.
12.2 Arbitration (Applicable Internationally): Any dispute arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall be finally settled by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time of commencement of the arbitration.
The arbitration shall be conducted by one arbitrator, the seat of arbitration shall be Hong Kong, and the language of the arbitration shall be English. Judgment on the arbitral award may be entered in any court of competent jurisdiction.
13.1 Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
13.2 Entire Agreement: These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between You and US concerning the use of the Service and supersede all prior or contemporaneous agreements, proposals, communications, and understandings (whether written or oral) relating to the Service. No other terms or conditions, including any purchase order or procurement terms issued by you, shall modify or supplement these Terms unless expressly agreed in writing by Teamther.ai.
13.3 Modifications: Teamther.ai reserves the right, at its sole discretion, to modify or replace any of these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. We may provide such notice by email, account notification, or by posting the updated Terms on our website. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the updated Terms, your sole remedy is to discontinue use of the Service before the changes take effect.
